Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Bybeit, Inc. ("Company," "we," "us," or "our"), governing your access to and use of the Bybeit website, mobile applications, and related services (collectively, the "Services").

By accessing or using the Services, you represent and warrant that: (i) you are at least 18 years of age, or the age of legal majority in your jurisdiction; (ii) you have the legal capacity to enter into these Terms; and (iii) your use complies with all applicable laws and regulations. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Bybeit, Inc. develops and operates AI-powered productivity and communication tools, including the Cueply iOS keyboard extension application. Our Services enable users to:

• Access the Bybeit website and corporate information.
• Download and use Bybeit mobile applications, including Cueply.
• Voluntarily submit content (such as screenshots or images) to third-party AI providers through our apps for analysis and reply generation.
• Subscribe to premium tiers of Bybeit applications for enhanced features.

The Company does not independently process, analyze, or store screenshots or conversation content submitted through its applications. Such content is transmitted directly from your device to your selected third-party AI provider.

Certain features, including access to premium subscription tiers, may require account creation or authentication via Apple ID or other supported identity providers. You agree to:

• Provide accurate, current, and complete information during registration or sign-in.
• Maintain the security and confidentiality of your account credentials.
• Notify us immediately at support@bybeit.app of any unauthorized use of your account or breach of security.
• Accept responsibility for all activities occurring under your account.

We reserve the right to suspend or terminate your account if we reasonably believe you have violated these Terms or engaged in conduct harmful to other users, us, or third parties.

4.1 Voluntary Submission

All screenshots and content submitted through our applications are provided voluntarily by you. You retain full control over what you choose to submit and are under no obligation to submit any particular content.

4.2 User Representations

By submitting any content through our Services, you represent and warrant that:

• You have all necessary rights, permissions, and consents to share such content with the applicable AI providers via our applications.
• The content does not contain personally identifiable information of any third party you are not authorized to share.
• Your submission complies with all applicable laws, including privacy laws, data protection regulations, and the terms of service governing any platform from which the content was obtained.
• The content is not defamatory, obscene, unlawful, or otherwise inappropriate.

4.3 No Storage by Bybeit, Inc.

Bybeit, Inc. does not retain, store, log, or otherwise preserve the contents of any screenshot or conversation data on its own servers or infrastructure. Content submitted to AI providers is transmitted directly from your device to the applicable API endpoint.

5.1 Processing by AI Providers

Our applications currently support integration with the following third-party AI providers, which you may select at your discretion:

• OpenAI, LLC — Terms of Use & Privacy Policy
• Anthropic, PBC — Terms of Service & Privacy Policy

When you submit content through our applications, it is transmitted to your selected AI provider, who processes it under their own terms and privacy policies, entirely independent of these Terms.

5.2 Disclaimer Regarding AI Provider Data Practices

You acknowledge that by using our Services, your submitted content may be subject to the AI provider's data retention, model training, content moderation, and other policies. You are solely responsible for reviewing and accepting each AI provider's terms and privacy policies before submitting content.

5.3 No Endorsement

The availability of an AI provider within our applications does not constitute an endorsement, recommendation, or warranty by Bybeit, Inc. of that AI provider or its services.

6.1 Nature of AI-Generated Outputs

Content generated by AI providers through our applications is produced by large language model systems. These outputs are probabilistic, generative, and inherently unpredictable. Bybeit, Inc. does not guarantee the accuracy, appropriateness, completeness, originality, or effectiveness of any AI-generated output.

6.2 No Guarantee of Results

6.3 User Responsibility

You are solely responsible for reviewing AI-generated outputs before use and for any decision to send, share, or otherwise use such content. You acknowledge that AI-generated content may be inaccurate, inappropriate, or unsuitable for your intended use, and that the Company has no liability for any consequences arising from your use of such content.

7.1 Premium Features

Certain Bybeit applications offer premium subscription tiers (e.g., "Cueply Pro") providing access to enhanced features, higher usage limits, and additional functionality as described within the applicable application, subject to change at our discretion.

7.2 Billing and Payment

Subscription billing is handled exclusively by Apple, Inc. through the App Store. By subscribing, you agree to Apple's payment terms and conditions applicable to in-app purchases.

7.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled at least 24 hours before renewal. Your Apple ID account will be charged within 24 hours prior to renewal. You may manage or cancel at any time through your Apple ID account settings.

7.4 Refund Policy

For refund requests required by applicable law, contact support@bybeit.app or initiate a request through the Apple App Store.

7.5 Price Changes

We reserve the right to modify subscription pricing at any time. Price changes take effect at the start of the next subscription period following reasonable notice provided through the application or via email.

Our full privacy practices are set forth in the Bybeit Privacy Policy, incorporated into these Terms by reference. In the event of any conflict between these Terms and the Privacy Policy regarding privacy matters, the Privacy Policy shall govern.

Bybeit applications are designed as privacy-first products. We do not collect, store, or retain personal identifiers, screenshots, or conversation data on our own infrastructure. Screenshots are transmitted ephemerally and directly from your device to your selected AI provider via encrypted HTTPS connections.

You agree not to use our Services for any unlawful, harmful, abusive, harassing, defamatory, or otherwise objectionable purpose. Without limiting the foregoing, you agree not to:

• Submit content you are not authorized to share, including private communications or personal information of third parties without their consent.
• Use our Services to generate content intended to deceive, defraud, manipulate, harass, or harm any individual.
• Attempt to reverse engineer, decompile, or disassemble any Bybeit application.
• Use automated scripts, bots, or non-human means to interact with our Services.
• Circumvent, disable, or interfere with security features of our Services or any connected systems.
• Use our Services in violation of any applicable law or regulation, or in violation of any third-party platform's terms of service.
• Reproduce, distribute, or create derivative works based on our Services without prior written consent.
• Attempt to gain unauthorized access to any portion of our Services, systems, or networks.

We reserve the right to terminate access immediately and without notice if we determine, in our sole discretion, that you have violated any of these prohibitions.

10.1 Company Intellectual Property

Bybeit's website, applications, design, user interface, code, features, trademarks, logos, and all content created by Bybeit, Inc. (collectively, "Company IP") are owned by or licensed to Bybeit, Inc. and are protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any ownership interest in any Company IP.

10.2 Limited License

Subject to your compliance with these Terms, Bybeit, Inc. grants you a limited, non-exclusive, non-transferable, revocable license to use our applications on Apple iOS devices you own or control, solely for personal, non-commercial purposes.

10.3 AI-Generated Output

Ownership of AI-generated content is subject to the applicable AI provider's terms and policies. Bybeit, Inc. makes no claim of ownership over AI-generated outputs and does not warrant that such content is free of third-party intellectual property claims.

10.4 App Store Terms

Your use of our applications is also subject to the Apple Media Services Terms and Conditions. In the event of a conflict between these Terms and Apple's terms regarding use of the application, these Terms shall govern to the extent not superseded by Apple's terms.

Some jurisdictions do not allow exclusion of certain warranties. In such jurisdictions, the foregoing exclusions apply only to the extent permitted by law.

Where the foregoing limitation is not permitted, our aggregate liability to you for all claims shall not exceed the greater of: (i) the total amount you paid Bybeit, Inc. in the twelve months preceding the claim, or (ii) USD $100.00.

You agree to indemnify, defend, and hold harmless Bybeit, Inc. and its officers, directors, employees, contractors, agents, affiliates, successors, and assigns from and against all claims, liabilities, damages, losses, costs, and fees (including reasonable attorneys' fees) arising out of or relating to:

• Your use of the Services, including any content you submit;
• Your violation of these Terms or any applicable law or regulation;
• Your violation of any rights of any third party, including privacy rights;
• Any harm caused to any third party as a result of AI-generated content you chose to use;
• Your breach of any representations or warranties in these Terms.

Our Services may reference or link to third-party websites, services, content, or applications. These references are for convenience only. Bybeit, Inc. has no control over, and assumes no responsibility for, the content, privacy policies, practices, or terms of any third-party service, including AI providers. Your interactions with any third-party service are solely between you and that service.

15.1 Changes to Services

We reserve the right to modify, update, suspend, discontinue, or terminate any Service at any time, with or without notice. We shall not be liable for any such modification, suspension, or discontinuation.

15.2 Changes to These Terms

We may modify these Terms at any time. For material changes, we will notify you by updating the "Last Updated" date and, where required by law, through more prominent notice. Continued use of the Services after the revised Terms' effective date constitutes your acceptance. If you disagree with the revised Terms, you must discontinue use of the Services.

We may terminate or suspend your access to the Services immediately and without notice for any reason, including if we reasonably believe you have violated these Terms. Upon termination, your right to use the Services will immediately cease. Provisions that by their nature should survive shall survive, including Sections 6, 7, 10, 11, 12, 13, 17, 18, and 19.

You may terminate at any time by ceasing use of and uninstalling our applications. Termination does not entitle you to a refund except as required by applicable law.

17.1 Governing Law

These Terms shall be governed by the laws of Japan, without regard to conflict of law provisions. To the extent mandatory consumer protection laws in your country of residence provide rights superior to those herein, such laws shall apply.

17.2 Informal Resolution

Before initiating any formal legal proceedings, you agree to first contact us at support@bybeit.app with a written description of the dispute and attempt informal resolution. We will respond within 30 days.

17.3 Jurisdiction

Subject to informal resolution, any legal proceedings shall be brought exclusively in the competent courts of Tokyo, Japan. You consent to personal jurisdiction and venue in such courts.

The following apply to applications obtained through the Apple App Store:

• These Terms are entered into between you and Bybeit, Inc. only. Apple is not a party and is not responsible for our applications or their content.
• The license granted is non-transferable and limited to Apple-branded products you own or control, in accordance with Apple's Usage Rules.
• Apple has no obligation to furnish maintenance or support services for our applications.
• If an application fails to conform to any warranty, you may notify Apple for a potential purchase price refund. To the maximum extent permitted by law, Apple has no other warranty obligations.
• Bybeit, Inc., not Apple, is responsible for product liability claims, legal compliance claims, and consumer protection claims relating to our applications.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you upon your acceptance.

19.1 Entire Agreement

These Terms, together with our Privacy Policy and other agreements incorporated by reference, constitute the entire agreement between you and Bybeit, Inc. regarding the Services.

19.2 Severability

If any provision is found invalid or unenforceable, it shall be modified minimally to make it enforceable, or severed, and the remaining provisions shall remain in full force and effect.

19.3 Waiver

No failure or delay by Bybeit, Inc. in exercising any right shall operate as a waiver thereof.

19.4 Assignment

You may not assign these Terms without our prior written consent. We may freely assign these Terms in connection with a merger, acquisition, or sale of assets, without restriction and without notice to you.

19.5 Force Majeure

Bybeit, Inc. shall not be liable for failures caused by circumstances beyond our reasonable control, including acts of God, governmental actions, natural disasters, pandemic, power failures, internet disruptions, or acts of third-party service providers including AI providers.

19.6 Language

These Terms have been prepared in English. To the extent any translated version conflicts with the English version, the English version shall control to the fullest extent permitted by applicable law.
